Mix first 3 ingredients; press into 9x13" pan. Bake 30 minute at 350 degree oven.
Mix cream cheese, confectioners sugar & 1/2 carton Cool Whip.
Spread this layer over cooled crust.
Mix pudding with 3 cups milk, mixing well. Pour this over cream cheese layer.
Top with remaining Cool Whip & refrigerate overnight.
Before serving, sprinkle grated chocolate on top.
