Preheat oven to 350 degrees
Sift together sugar & flour; set aside.
Mix in saucepan butter, cocoa & water. Bring to a rapid boil. Pour over sugar/flour mixture & mix well.
Add rest of ingredients to that mixture(except for icing ings.)
Pour into a 18x12 jelly roll pan. Bake for 25 mins.
Icing: Combine cocoa, butter & milk in saucepan. Bring to a rapid boil. Add powder sugar and mix well. Add vanilla & nuts. Spread over warm cake.
