Prepare cake mix according to package directions. Pour 1/2 batter into greased 9 x 13-inch pan. In seperate bowl, whip cream cheese, eggs and sugar. Pour this cheese mixture over the batter in the pan. Then add remaining batter. Bake at 325 for 1 1/4 to 1 1/2 hours. Cool completerly and then frost.
Combine all frosting ingedients in saucepan. Cook over medium heat until it thickens. Cool. Spread over cooled cake. Keep cake refrigerated.
